Please read these Terms and Conditions carefully before engaging Doi Spark's services or using our website. By submitting an enquiry, entering into a service agreement, or accessing our website, you confirm that you have read and understood these terms.
1. Definitions
- "We", "Us", "Our" refers to Doi Spark, based at 32 Chang Klan Road, Hai Ya, Mueang Chiang Mai, Chiang Mai 50100, Thailand.
- "Client" or "You" refers to any individual or organisation that engages our services or uses our website.
- "Programme" refers to any structured service offering, including but not limited to the AI Awareness Briefing, QA Integration service, or Workshop Series.
- "Agreement" refers to the combination of these Terms and any written service agreement or proposal accepted by the Client.
- "Content" refers to all materials, documents, presentations, and deliverables created by Doi Spark.
2. Acceptance of Terms
Use of our website or engagement of our services constitutes acceptance of these Terms. You must be at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
3. Service Description and Availability
Doi Spark provides AI integration advisory services and structured training programmes for business organisations. Services are currently available primarily in Thailand, with remote or travel-based delivery available by arrangement. We reserve the right to decline engagement requests at our discretion and without obligation to provide a reason.
Specific scope, deliverables, timelines, and fees for each engagement are set out in a written service proposal, which forms part of the Agreement when accepted by the Client.
4. User Responsibilities
- Provide accurate and complete information during scoping, registration, and programme delivery.
- Ensure that programme participants are appropriate for the selected programme and are made aware of the programme's objectives.
- Make necessary personnel, data, and facilities available according to the agreed project schedule.
- Refrain from using any Doi Spark materials in a manner that infringes third-party rights or applicable law.
- Not reproduce, resell, or distribute Doi Spark programme content without prior written consent.
5. Intellectual Property
All programme materials, methodologies, frameworks, and content created by Doi Spark remain the intellectual property of Doi Spark. Upon full payment, Clients receive a limited, non-exclusive licence to use materials for internal purposes within their organisation.
Deliverables produced specifically for a Client (such as written summaries, technical handovers, and process improvement proposals) are provided for the Client's internal use. Clients may not commercialise, licence, or distribute these materials without written permission.
6. Payment Terms
- Fees are quoted in Thai Baht (THB) and are inclusive of applicable taxes unless otherwise stated.
- Payment schedules (deposit, milestone, and final payment) are set out in the service proposal.
- Invoices are payable within 14 days of issuance unless otherwise agreed in writing.
- Doi Spark reserves the right to suspend programme delivery if payment obligations are not met on time.
Cancellation: Cancellations made more than 14 days before programme delivery are eligible for a full refund of any deposit paid. Cancellations within 14 days of delivery may be subject to a cancellation fee as specified in the service proposal.
7. Confidentiality
Both parties agree to treat as confidential any information disclosed by the other party that is identified as confidential or would reasonably be understood to be confidential in the context of the engagement. This obligation survives termination of the Agreement for a period of three years.
8. Disclaimers
Our services are provided to support informed decision-making and organisational learning. We do not warrant or represent specific outcomes from AI adoption or programme participation. Results will vary depending on the Client's organisational context, data quality, and implementation decisions made after engagement.
Our website and materials are provided "as is" without representations or warranties of any kind, express or implied.
9. Limitation of Liability
To the maximum extent permitted by Thai law, Doi Spark's total liability for any claim arising from these Terms or an engagement shall not exceed the total fees paid by the Client for the relevant programme. We shall not be liable for any indirect, consequential, or incidental losses, including loss of profits or data.
10. Termination
Either party may terminate a service agreement with 14 days' written notice. Upon termination, the Client will be invoiced for work completed to date. Doi Spark reserves the right to terminate immediately in cases of material breach, non-payment, or conduct that compromises the safety or integrity of programme delivery.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If resolution is not achieved within 30 days, disputes may be referred to arbitration or the competent courts of Chiang Mai Province.
12. General Provisions
- Entire Agreement: These Terms, together with any accepted service proposal, constitute the entire agreement between the parties.
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
- Assignment: Clients may not assign their rights or obligations under these Terms without prior written consent from Doi Spark.
13. Changes to These Terms
We may update these Terms periodically. The revised version will be posted on our website with an updated effective date. Continued use of our website or services following any update constitutes acceptance of the revised Terms.
